These Terms of Service ("Terms") govern your use of the website and services provided by Shanghai Zhongshen International Trade Co., Ltd. ("Zhongshen", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms. Please read them carefully before proceeding.

By submitting an inquiry, engaging our services, or continuing to use this website, you confirm that you have read, understood, and agree to be bound by these Terms of Service, as well as our Privacy Policy.

If you are using our services on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms, and these Terms will apply to that entity.

We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms.

02 — Services Description

Services Description

Zhongshen provides the following trade-related services to international businesses:

  • Customs Brokerage: Declaration, classification, and clearance of import and export shipments at Chinese ports
  • Export Tax Refund Agency: Preparation and submission of VAT refund applications on behalf of exporters
  • Import / Export Agency: Acting as a licensed trade entity in China for documentation, payment facilitation, and regulatory compliance
  • Supply Chain Management: Coordination of freight, warehousing, and last-mile logistics within China

The specific scope, pricing, and timeline for each engagement are agreed upon separately in a service agreement or written quotation. These Terms apply as a baseline to all service engagements unless superseded by a specific contract.

03 — Client Obligations

Client Obligations

To enable Zhongshen to perform services effectively and in compliance with applicable regulations, clients agree to:

  • Provide accurate, complete, and timely documentation required for customs declarations and tax refund applications
  • Disclose the true nature, quantity, value, and origin of all goods to be cleared or handled
  • Ensure that all goods comply with Chinese import/export regulations and are not subject to prohibitions or restrictions without proper licensing
  • Promptly respond to requests for additional information or documentation
  • Pay agreed fees within the timelines specified in the service agreement

Any delays, fines, or additional costs resulting from inaccurate or incomplete client-provided information shall be the sole responsibility of the client.

04 — Fees & Payment

Fees & Payment

Service fees are quoted individually based on shipment details, service type, and complexity. All fees are agreed in writing prior to commencement of services.

  • Quoted fees are valid for the period stated in the written quotation
  • Payment terms are specified in each service agreement; standard terms require payment within the agreed period upon invoice issuance
  • Late payment may result in suspension of services and may incur interest charges as permitted by applicable law
  • Government duties, tariffs, port charges, and third-party logistics costs are passed through at cost and are separate from Zhongshen's service fees

All fees are quoted in USD or CNY as agreed, and clients are responsible for any applicable bank transfer fees or currency conversion costs.

05 — Limitation of Liability

Limitation of Liability

Zhongshen will exercise reasonable professional care and diligence in performing all services. However, to the fullest extent permitted by law:

  • Zhongshen is not liable for delays, losses, or additional costs caused by circumstances beyond our control, including but not limited to port congestion, customs authority decisions, regulatory changes, or force majeure events
  • Our total liability for any claim arising from a specific service engagement shall not exceed the fees paid to Zhongshen for that specific engagement
  • We are not liable for indirect, consequential, incidental, or punitive damages of any kind
  • Zhongshen is not responsible for customs decisions, duty assessments, or inspection outcomes made by government authorities
Clients are encouraged to obtain appropriate cargo insurance and trade credit insurance for their shipments. Zhongshen can provide referrals upon request.
06 — Intellectual Property

Intellectual Property

All content on this website, including but not limited to text, graphics, logos, and page design, is the property of Shanghai Zhongshen International Trade Co., Ltd. and is protected by applicable intellectual property laws.

You may not reproduce, distribute, or use any website content for commercial purposes without our express written permission. Limited use for personal reference is permitted provided proper attribution is given.

07 — Confidentiality

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared in the course of the service engagement. This includes shipment details, pricing agreements, and client business information.

Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by law or regulatory authority. Zhongshen's obligations under Chinese customs law to report accurate shipment data to authorities are not a breach of this confidentiality commitment.

08 — Termination

Termination

Either party may terminate a service engagement with reasonable written notice, subject to the terms of any specific service agreement in place. In the event of termination:

  • Zhongshen will complete any services already in progress where legally or operationally required
  • All outstanding fees for services rendered up to the termination date remain payable
  • Client documents and data will be handled in accordance with our Privacy Policy and applicable data retention requirements

Zhongshen reserves the right to immediately suspend services without notice if a client provides fraudulent documentation, engages in prohibited trade activities, or materially breaches these Terms.

09 — Governing Law

Governing Law & Dispute Resolution

These Terms and any disputes arising from the use of our website or services shall be governed by and construed in accordance with the laws of the People's Republic of China.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be submitted to the Shanghai International Economic and Trade Arbitration Commission (SHIAC) for binding arbitration, conducted in Shanghai in the Chinese language.
